These Terms and Conditions (“Terms”) govern your access to and use of our platform, including midnightquant.com, app.midnightquant.com, and all related algorithms, tools, and investment services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must refrain from accessing or using the Platform.

1. Legal Entity and Jurisdiction

MidnightQuant Finance LLC (“we,” “our,” “us”) is a company registered in the state of Delaware, United States. These Terms are governed by the laws of the state of Delaware. Any disputes arising out of or related to these Terms will be resolved exclusively in the courts located in Delaware.

2. Eligibility

By accessing or using the Platform, you represent and warrant that:

• You are at least 18 years of age or the legal age of majority in your jurisdiction.

• You have the legal capacity to enter into binding agreements.

• You are not prohibited from accessing or using the Platform under any applicable laws.

3. Services Provided

MidnightQuant provides algorithm-based investment services and tools (“Services”), including but not limited to:

• Access to algorithms such as Moonbeam and others.

• Portfolio management tools.

• Investment performance tracking.

• Secure withdrawal and reinvestment options.

All investments involve risk, including the potential loss of your initial investment. MidnightQuant does not guarantee specific results or returns.

4. Account Registration and Security

• To access the Platform, you must create an account and provide accurate, complete, and current information.

• You are solely responsible for maintaining the confidentiality of your login credentials and for any activity that occurs under your account.

• Multi-factor authentication (MFA) is available and recommended to enhance account security.

• Notify us immediately of any unauthorized access or breach of security. MidnightQuant will not be held liable for losses arising from unauthorized account activity.

5. Fees and Payment Terms

• MidnightQuant charges performance-based fees, as outlined in the specific terms of each algorithm or fund.

• Performance fees are calculated as a percentage of profits and are due at the end of each investment cycle.

• An invoice will be issued for performance fees, and payment must be completed within 7 calendar days of issuance.

Failure to pay performance fees by the due date may result in the following actions:

• Freezing of account funds.

• Engagement of collection agencies to recover unpaid fees.

• Legal action to recover the outstanding balance.

• All payment obligations are non-refundable.

6. Withdrawal Methods

Withdrawals are processed through the Platform and are typically completed within 1–2 business days after all outstanding fees and compliance checks are resolved.

• Withdrawal methods available include:

• Direct ACH transfer (for U.S. accounts).

• International wire transfer (subject to additional bank fees).

• Cryptocurrency withdrawal (where supported).

All withdrawal requests are subject to:

• Completion of compliance checks under AML regulations.

• Sufficient available funds after deduction of applicable performance fees.

• MidnightQuant is not responsible for delays caused by third-party payment processors or banks.

7. Reinvestment Policy

• Reinvestment of profits into subsequent funds or algorithms is available through the Platform.

• Reinvestment requests will only be processed after any outstanding performance fees are paid in full.

8. Anti-Money Laundering (AML) Compliance

To comply with AML regulations:

• MidnightQuant cannot directly deduct fees from your account. Instead, you will receive an invoice for any applicable fees.

• Funds cannot be withdrawn or reinvested until all outstanding fees are paid in full.

• MidnightQuant reserves the right to freeze accounts if suspicious activity is detected or if compliance requirements are not met.

• MidnightQuant may request additional documentation, including proof of identity and address, to comply with AML protocols.

9. Investment Risk Disclosure

• Investments involve inherent risks, including the potential loss of your principal investment.

• MidnightQuant provides algorithm-based strategies but does not guarantee specific returns or outcomes.

• Users acknowledge and accept that past performance is not indicative of future results.

10. Communication and Notifications

• By creating an account, you consent to receiving communications from MidnightQuant, including but not limited to:

• Performance updates.

• Invoices and payment reminders.

• Changes to the Platform or Services.

• Notifications will be sent via email or through the Platform. It is your responsibility to ensure your contact details are accurate and up-to-date.

11. Intellectual Property

• All content, algorithms, and materials provided by MidnightQuant are the intellectual property of MidnightQuant Finance LLC and are protected by copyright, trademark, and other intellectual property laws.

• Users are prohibited from copying, reproducing, or distributing any content without prior written consent.

12. Prohibited Activities

You agree not to:

• Use the Platform for unlawful purposes.

• Attempt to reverse-engineer, manipulate, or exploit the algorithms.

• Provide false or misleading information during account registration or AML verification.

• Interfere with the Platform’s functionality or security.

13. Account Termination

MidnightQuant reserves the right to terminate or suspend your access to the Platform at its sole discretion, including but not limited to:

• Violations of these Terms.

• Failure to pay outstanding fees.

• Detection of suspicious or unauthorized activity.

14. Limitation of Liability

To the fullest extent permitted by law:

• MidnightQuant is not liable for any direct, indirect, incidental, or consequential damages arising from the use of the Platform.

• MidnightQuant’s total liability under these Terms is limited to the fees paid by you for Services.

15. Amendments to Terms

• MidnightQuant reserves the right to amend these Terms at any time. Changes will be effective upon posting to the Platform.

• Users are encouraged to review the Terms periodically. Continued use of the Platform constitutes acceptance of any updates.

16. Dispute Resolution

• All disputes arising from these Terms will be resolved under Delaware law.

• Users agree to submit to the exclusive jurisdiction of the courts located in Delaware.
